Vedder announced that it represented WNG Capital LLC (“WNG Capital”), a leading aircraft operating lessor focused on investing in used commercial aircraft manufactured by Airbus and Boeing, in the sale of a portfolio of 12 commercial aircraft and 13 spare aircraft engines to Willis Lease Finance Corporation (NASDAQ: WLFC) (“WLFC”). The transaction is being completed through WLFC’s acquisition of entities holding the portfolio and is expected to close in the third quarter of 2026, subject to customary closing conditions.
The Vedder team advising WNG Capital on the transaction included Global Transportation Finance Shareholders Geoffrey Kass and Raviv Surpin and Associate Adrian Mosquera, who acted as lead counsel to WNG Capital in negotiating the purchase and sale agreement and related documentation.
“We are proud to have represented WNG Capital in this significant portfolio sale,” said Geoffrey Kass, Global Transportation Finance Shareholder at Vedder. “This transaction reflects the continued strength of the market for well-managed mid-life and older aviation assets and the value of careful legal execution in complex portfolio dispositions.”
Raviv Surpin added, “WNG Capital has built a strong platform in the aviation leasing market, and this sale highlights the quality of the portfolio and the sophistication required to execute a transaction of this scale.”
